Membership Terms and Conditions

1. Introduction
These Membership Terms and Conditions ("Membership Terms") govern your subscription to a paid membership on uniticybermedia.com (the "Site"), operated by UNITI Cyber Media LLC, a Kansas limited liability company ("UNITI Cyber Media," "we," "us," or "our"). They apply in addition to our Terms of Use and Privacy Policy, which are part of your agreement with us. If there is a direct conflict on a membership-specific point, these Membership Terms control for that point.
By subscribing to a paid membership, you agree to these Membership Terms.

2. Membership Tiers
We offer the following tiers:

The Reader. A free tier. It provides email updates and access to public content. It does not include access to member-only content.

The Oversight Insider. A paid subscription at 14.99 US dollars per month.

The Oversight Insider Annual. A paid subscription at 149 US dollars per year.

Both paid tiers provide the same member benefits described in Section 3. The annual tier is billed once per year rather than monthly. Prices are in US dollars and exclude any applicable taxes.

3. What Membership Includes
While your paid membership is active and in good standing, you receive access to the member-only library and benefits offered to Insiders, which may include case studies, governance workbooks, executive briefs, framework references, and other member content and benefits we make available from time to time.

Membership gives you access to member content for as long as you remain subscribed. It is not a sale of individual items, and specific content may be added, changed, or removed as the library evolves. Some content is published publicly and does not require a membership.

4. Founding Member Pricing
If you subscribe to The Oversight Insider during the founding period at the founding monthly rate, that rate stays the same for as long as your subscription remains continuously active, even if we raise prices for new subscribers later. This price lock applies only while your subscription stays active. If you cancel and later re-subscribe, the pricing then in effect will apply. We may close the founding period at any time.

5. Billing, Renewal, and Payment

Payment processor. Payments are processed through Wix Payments. Accepted methods include credit and debit cards, Apple Pay, Google Pay, and PayPal.

Authorization. By subscribing, you authorize us and our payment processor to charge your selected payment method the recurring fee for your plan, plus any applicable taxes.

Automatic renewal. Your subscription renews automatically at the end of each billing period, monthly for the monthly plan and annually for the annual plan, at the then-current rate for your plan, unless you cancel before the renewal date or the founding price lock in Section 4 applies.

Failed payments. If a payment fails, we may retry the charge and may suspend or cancel your membership if payment cannot be collected.

Price changes. We may change subscription prices. We will give you advance notice of a price change, and it will take effect on your next billing period after the notice. The founding price lock in Section 4 is an exception to price increases while it applies.
6. Cancellation
You may cancel your membership at any time through your account settings or by contacting us at inquiry@uniticybermedia.com. When you cancel, your membership remains active until the end of the billing period you have already paid for, and it does not renew after that. Your access to member-only content ends when that paid period ends.

7. Refunds
Subscription fees are non-refundable. If you cancel, you keep access until the end of the current paid period, and we do not provide refunds or pro-rated credit for the unused part of a billing period. Digital products purchased from our store are non-refundable once they have been accessed or downloaded. Nothing in this section limits any refund or cancellation right you have that cannot be waived under applicable law. Beyond those rights, any refund is at our sole discretion.

8. Access After Cancellation or Non-Payment
When your membership ends, by cancellation, non-payment, or termination, your access to member-only content stops. Public content remains available. Any digital product you separately purchased remains available to you under the terms of its own license, which are set out in our Digital Product License and Purchase Terms.

9. Digital Products Sold Separately
Some content is sold as separate digital products, such as downloadable PDFs and bundles, and is not included in a membership. Members may receive a discount on these products, for example a single-use discount code delivered by email after signup. Purchases of digital products are governed by our Digital Product License and Purchase Terms.

10. Your Account
Membership is personal to you. You agree to keep your login credentials secure, not to share your account or member content with others, and not to allow anyone else to use your membership. You are responsible for activity under your account. We may treat credential sharing or other circumvention of member access as a violation of these Membership Terms.

11. Content Is Licensed, Not Sold
Your membership grants you a limited, personal, individual, non-exclusive, non-transferable, non-sublicensable, revocable license to access and view member content for your own personal and internal professional use only, as described in our Terms of Use. It does not transfer ownership of any content and grants no commercial rights.
Without our express prior written consent, you may not copy, reproduce, distribute, republish, share, transfer, sell, resell, sublicense, or publicly post member content, use it to deliver paid services or to build competing or derivative products, or otherwise commercially exploit it, and you may not remove any branding, watermark, or notice. Member content is licensed to you as an individual. Sharing your account or member content with anyone else, including colleagues, is not permitted without a separate license from us.

12. Suspension and Termination
We may suspend or terminate your membership if you violate these Membership Terms, the Terms of Use, or applicable law, or to protect the Site, our members, or others. If we terminate your membership for a violation, you are not entitled to a refund. Sections that by their nature should survive termination, including license limits, disclaimers, limitation of liability, and governing law, survive.

13. Changes to Plans, Benefits, and These Terms
We may change membership plans, pricing, and the specific benefits and content offered, and we may update these Membership Terms. When we make material changes, we will update the effective date above and, where appropriate, notify you by email or a notice on the Site. Changes to recurring pricing follow Section 5. Your continued membership after an update means you accept the revised Membership Terms.

14. Disclaimers and Limitation of Liability
Membership and member content are provided on the same "as is" and "as available" basis, and subject to the same disclaimers and limitation of liability, as set out in our Terms of Use. Member content is editorial governance, risk, and compliance analysis for information and education. It is not legal, regulatory, or other professional advice. We use AI tools to assist with researching and producing this content, and our authors review, edit, and take editorial responsibility for it.

15. Governing Law
These Membership Terms are governed by the laws of the State of Kansas, without regard to its conflict-of-laws rules, consistent with the governing-law and dispute-resolution provisions of our Terms of Use.
