Digital Product License and Purchase Terms

1. Introduction and Scope
These Digital Product License and Purchase Terms ("Product Terms") govern your purchase and use of digital products offered by UNITI Cyber Media LLC, a Kansas limited liability company ("UNITI Cyber Media," "we," "us," or "our"), through uniticybermedia.com (the "Site"). Digital products include downloadable and access-based materials such as workbooks, checklists, field guides, case studies, briefs, reports, templates, and bundles of these items (each a "Product").

 

These Product Terms apply in addition to our Terms of Use and Privacy Policy, and, for members, our Membership Terms and Conditions. If there is a direct conflict on a point specific to a purchased Product, these Product Terms control for that point.

 

By purchasing or downloading a Product, you agree to these Product Terms.

2. What You Are Buying
When you buy a Product, you are buying a license to use it, not the Product itself and not the intellectual property in it. UNITI Cyber Media and its licensors retain all ownership, copyright, and other intellectual property rights in every Product. Your purchase does not transfer ownership of the content to you.

3. License Grant
Subject to these Product Terms and your payment, we grant you a limited, personal, individual, non-exclusive, non-transferable, non-sublicensable, revocable license to download, store, and use the Product for your own personal use and your own internal professional use, including use within your own role and organization.

The license is granted to you as a single individual user, and the Product is licensed for one person. We do not currently offer team, multi-user, or organizational licenses. An organization that wants to cover a group should contact us directly at inquiry@uniticybermedia.com. Any arrangement we agree to is subject to the same restrictions as a single license: each covered person may use the Product only within their own role and organization, for their own use, and for nothing else.

4. What You May Not Do
The license grants no commercial distribution or resale rights. Without our express prior written consent, you may not:

• sell, resell, rent, lease, sublicense, assign, or otherwise transfer the Product or your license;

• redistribute, republish, repost, upload, or share the Product, in whole or in part, including posting it to any public, shared, or internal file repository, intranet, group, or website;

• provide the Product to, or use it to deliver paid or unpaid services or deliverables for, any third party, or incorporate it into your own products, courses, training-for-sale, or client work;

• use the Product to build, or to help build, a competing or derivative product or service;

• reproduce or copy the Product beyond the copies reasonably needed for your own permitted use;

• create derivative works from the Product; or

• remove, obscure, alter, or defeat any branding, watermark, copyright notice, attribution, or other proprietary marking.

Applying what you learn from a Product in your own work is permitted. Distributing, reselling, or commercially exploiting the Product itself is not.

5. Ownership and Intellectual Property
All Products, and all text, structure, graphics, branding, and design in them, are owned by UNITI Cyber Media or its licensors and are protected by copyright, trademark, and other laws. The UNITI Cyber Media name and logo are our trademarks and may not be used without our written permission. All rights not expressly granted in these Product Terms are reserved.

6. Watermarking and Traceability
Products may include visible or embedded markings, including a watermark or identifier associated with your purchase, so that copies can be traced. You may not remove or alter these markings. Distribution of a Product that carries your identifying marking is a breach of these Product Terms and may be treated accordingly.

7. Payment
Prices are shown at checkout in US dollars and exclude any applicable taxes. Payment is processed through Wix Payments, and accepted methods include credit and debit cards, Apple Pay, Google Pay, and PayPal. You authorize us and our payment processor to charge your selected payment method for the Product and any applicable taxes.

8. Delivery and Access
Products are delivered digitally, by download or by access on the Site. You are responsible for downloading and keeping your own copy where a download is provided, and for having the software needed to open standard file formats. We may update a Product, but we are not obligated to provide updates, prior versions, or continued hosting of any particular file.

9. Refunds
Because Products are digital goods delivered immediately, all sales are final and Products are non-refundable once they have been accessed or downloaded. Nothing in this section limits any refund or cancellation right you have that cannot be waived under applicable law. Beyond those rights, any refund is at our sole discretion. If a Product is defective or you were charged in error, contact us at inquiry@uniticybermedia.com and we will work with you in good faith.

10. Member Discounts
Members may receive a discount on Products, for example through a single-use discount code delivered by email. Discount codes are personal to the member, may be single-use, and may not be sold, shared, or combined unless we state otherwise. Member purchases remain governed by these Product Terms.

11. Termination of License
Your license terminates automatically if you breach these Product Terms. On termination, you must stop using the Product and delete or destroy all copies in your possession or control. Termination for breach does not entitle you to a refund. Sections that by their nature should survive termination, including ownership, restrictions, disclaimers, limitation of liability, and governing law, survive.

12. Disclaimers and Limitation of Liability
Products are provided on an "as is" and "as available" basis, and are subject to the same disclaimers and limitation of liability set out in our Terms of Use. Products contain editorial governance, risk, and compliance analysis for information and education. They are not legal, regulatory, or other professional advice, and they are not a substitute for advice from a qualified professional who knows your specific circumstances. We use AI tools to assist with researching and producing our Products, and our authors review, edit, and take editorial responsibility for them.

13. Governing Law
These Product Terms are governed by the laws of the State of Kansas, without regard to its conflict-of-laws rules, consistent with the governing-law and dispute-resolution provisions of our Terms of Use.

14. Changes to These Terms
We may update these Product Terms from time to time. The version in effect at the time of your purchase governs that purchase. When we make material changes, we will update the effective date above and, where appropriate, provide notice on the Site.
