The Risk Your Organization Doesn't Know It's Running

There's a version of this conversation that happens in boardrooms all the time. Leadership asks whether the organization is using AI responsibly. The CISO says yes. The policy is in place. The approved tools list exists. Everyone moves on.
What nobody mentions is the sales rep who's been pasting customer records into ChatGPT for six months to write faster proposals. Or the HR manager using a browser plugin to summarize performance reviews. Or the developer who stood up an AI-powered internal tool over a weekend and connected it to the company's file system.
That's shadow AI. There's a very good chance it's already running inside your organization right now.
What is Shadow AI?
Most people picture an employee typing something into ChatGPT when they hear the term shadow AI. That's part of it. The real threat surface is much wider than that.
Shadow AI is any AI enabled capability adopted outside your organization's formal security and procurement process. Think about what that actually covers. It includes employees using public AI tools without any contractual data handling agreements in place. It includes CRM plugins, email assistants, and document summarizers that have quietly added AI features without anyone in security noticing. It includes niche vendor tools built on top of open-source AI models, hosted in whatever cloud region was cheapest, with no guarantee that your data stays where your contracts demand it to remain.
It also includes your own people building internal AI tools without any review at all.
Each of those categories has one thing in common: your data is leaving your controlled environment, and you have no visibility into where it goes, who can access it, or whether it comes back.
Why this is a governance problem, not just a security problem
Here's the part that tends to get missed. Shadow AI doesn't just create technical risk. It creates a governance gap that makes your risk posture inaccurate.
When your security team reports on data exposure, those reports are based on systems they know about. Shadow AI sits entirely outside that picture. Your board is looking at a risk dashboard that doesn't reflect reality. The exposure is real. The reporting just isn't capturing it.
There's a regulatory dimension here too. If an employee pastes customer data into an external AI tool and that vendor is storing it in a jurisdiction your data processing agreements don't cover, you may have a compliance violation you don't know about. Data subject rights, deletion requests, cross-border transfer restrictions none of those protections apply to data flowing into systems you never approved.
The OWASP GenAI Data Security framework is direct about this: shadow AI leads to a breakdown of data mapping, lawful basis tracking, and data subject rights handling. Your governance controls can't protect data that your governance process never touched.
The scenario nobody wants to explain to their board
Picture a sales team that adopts an unsanctioned email writing assistant. It connects to the CRM. Staff paste in full opportunity notes, pricing data, and customer contact records to generate personalized outreach. Nobody ran it through procurement. Nobody reviewed the vendor's data handling terms.
Months later, the vendor updates their terms of service to allow training on customer inputs. Then they suffer a breach. Now those sales conversations, including your customer data and your pricing strategy, are exposed. That's not a hypothetical. Variations of that scenario have already happened. When it does, the question your board will ask is simple: how did this get in without anyone knowing?
What you can actually do about it!
The good news is that shadow AI is a governance problem, which means it responds to governance solutions.
Start with policy. Your organization needs a clear, published position on which AI tools are approved, what data can be entered into them, and what happens when someone doesn't follow the rules. Most organizations don't have this yet, and without it, employees aren't making bad decisions. They're making uninformed ones.
Build an AI tool catalog. Every AI tool in use across the organization should go through a review before it's adopted. That includes AI features embedded in tools you already use. Your CRM vendor adding a generative AI assistant to their platform is a new data processing relationship. It needs to be reviewed as one.
Make sure your vendor contracts cover AI. Approved vendors should have contractual commitments on data retention, training opt-outs, cross-border transfer restrictions, and breach notification. If your existing contracts predate the AI features your vendors are now offering, they probably don't cover any of it.
Consider what detection you have in place. Data loss prevention and cloud access security broker controls can help you see when sensitive data is moving toward unapproved AI endpoints. You can't govern what you can't see.
The bottom line
Your employees aren't trying to create risk. They're trying to do their jobs faster. Shadow AI spreads because the tools are easy to access and the productivity gains are real. The answer isn't to lock everything down. It's to build a governed path forward so people don't have to go around you to get the tools they need.
Governance built into the process stops these problems before they start. Governance bolted on after a breach is just documentation of what went wrong.
We do not rise to the level of our AI capabilities. We fall to the level of our governance.
